These Terms of Use (the “Terms”) govern your access to and use of https://asigames.online (the “Site”), our developer/publisher portals, and related services, tools, and features (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1 Acceptance & Scope

These Terms form a binding agreement between you and ASI Games (“ASI Games”, “we”, “us”, “our”). If you use the Services on behalf of a company or organization, you represent that you are authorized to accept these Terms for that entity. Additional agreements (e.g., Publishing & Porting Agreement) may apply to specific projects; where they conflict, the project-specific agreement prevails.

2 Eligibility, Accounts & Security

The Services are intended primarily for business users. You must provide accurate information, safeguard your credentials, and promptly notify us of any suspected compromise. You are responsible for all activities under your account. We may suspend or terminate access for violations of these Terms or to protect the Services and users.

3 Services Overview

Our Services include developer portals, publishing workflows, analytics dashboards, and (where available) financial features such as virtual cards, payouts, and transfers via third-party providers. Not all features are available in all locations. We may modify or discontinue features without liability, with reasonable notice where practicable.

4 Fees, Billing & Taxes

Applicable tariffs (e.g., publishing commission, card subscription, top-ups, transfers, ATM withdrawals) are shown on the Site and may be updated with prior notice. Unless stated otherwise, fees are in EUR and exclusive of taxes. You authorize us and our payment partners to charge fees and applicable taxes and acknowledge that intermediary or network charges may apply to transfers.

5 Publishing & Project Agreements

Specific titles may be governed by a separate Publishing and/or Porting Agreement. Such agreements define scope, deliverables, IP licensing, revenue share, timelines, and approvals. In case of conflict between these Terms and a project-specific agreement, the latter controls for that project.

6 Intellectual Property & License

The Site, dashboards, and underlying technology are owned by ASI Games or its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-transferable license to access and use the Services for your internal business purposes. All rights not expressly granted are reserved.

7 User Content & Feedback

You retain ownership of content you submit. You grant us a worldwide, royalty-free license to host, process, display, and use such content solely to operate and improve the Services and fulfill our obligations (including platform submissions you authorize). Feedback may be used by us without restriction or attribution.

8 Acceptable Use

You will not: (i) misuse or interfere with the Services; (ii) attempt to bypass security or access non-public areas; (iii) reverse engineer or copy the Services except as permitted by law; (iv) upload unlawful, infringing, or harmful content; (v) violate third-party platform rules (e.g., Sony, Nintendo, Microsoft) or applicable laws, including export control and sanctions rules.

9 Third-Party Services & Links

We may integrate third-party tools (e.g., analytics, payments, identity verification) or link to third-party sites. We are not responsible for their content or policies. Your use of third-party services is subject to their terms and privacy notices.

10 Privacy

Our processing of personal data is described in our Privacy Policy available on the Site. By using the Services, you acknowledge and agree to that policy.

11 Disclaimers

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

12 Limitation of Liability

To the maximum extent permitted by law, ASI Games will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to the Services. Our aggregate liability for any claim shall not exceed the greater of EUR 100 or the fees paid to us for the Service giving rise to the claim in the 3 months preceding the event.

13 Indemnification

You will defend, indemnify, and hold harmless ASI Games and its affiliates from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable laws.

14 Termination & Suspension

We may suspend or terminate access to the Services at any time with notice where reasonable (or immediately in cases of fraud, legal risk, or security issues). Upon termination, your license ends and you must cease use. Provisions intended to survive (e.g., IP, fees, disclaimers, liability limits, indemnity, governing law) will continue to apply.

15 Changes to the Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a new “Effective date”. Material changes may be communicated by email or in-product notice. Continued use after changes constitutes acceptance.

16 Governing Law & Dispute Resolution

These Terms and any non-contractual obligations shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our IP or confidential information.

Formal notices must be sent to dev@asigames-europe.com. We may provide notices via email, dashboard messages, or the Site.

If any provision is held invalid, the remaining provisions shall remain in full force. Failure to enforce a provision is not a waiver.
